NZTeco Terms and Conditions

These Terms and Conditions apply to your use of the NZTeco Limited website, account applications, quotations, orders, product supply, software licences, cloud services, subscriptions, support and related services provided by NZTeco Limited.

Please read these Terms carefully. By using our website, submitting an account application, requesting a quotation, accepting a quotation, placing an order, issuing a purchase order, paying a deposit, using supplied products, accessing software or cloud services, or requesting support from NZTeco, you agree to these Terms.

If you do not agree with these Terms, please do not use our website, submit an application, place an order, or use our products, software, cloud services or related services.

1. About NZTeco Limited

In these Terms, “NZTeco”, “NZTeco Limited”, “we”, “us” and “our” refer to NZTeco Limited.

“Customer”, “you” and “your” refer to the person, business, company, organisation, reseller, installer, integrator, end user, applicant, purchaser, website user, or other party dealing with NZTeco.

NZTeco supplies security technology products and related solutions, including access control, biometric systems, time and attendance systems, turnstiles, smart locks, CCTV, visitor management, software licences, cloud services, subscriptions and related services.

2. Scope of These Terms

These Terms apply to:

  • account applications and credit applications;
  • reseller, installer, integrator and trade account enquiries;
  • quotations, estimates and proposals issued by NZTeco;
  • website orders, email orders, purchase orders and accepted quotations;
  • the supply of products, parts, accessories and hardware;
  • software licences, cloud services and subscriptions;
  • remote support, technical guidance, configuration assistance and related services;
  • installation or onsite services, where these are specifically quoted or agreed in writing;
  • use of the NZTeco website and website content.

These Terms apply unless NZTeco agrees otherwise in writing. If there is a conflict between these Terms and a written quotation or agreement issued by NZTeco, the written quotation or agreement will apply to the extent of the conflict.

3. Acceptance of Terms

You accept these Terms when you:

  • submit an account application or credit application;
  • request, accept or approve a quotation;
  • place an order by email, purchase order, website order, phone, message, or other accepted method;
  • pay a deposit, invoice, subscription, licence fee or other amount to NZTeco;
  • collect, receive, install, activate, use, resell, integrate, or support any product supplied by NZTeco;
  • access software, licences, cloud platforms, subscriptions, portals, or related services supplied through NZTeco;
  • request technical support, configuration assistance, training, or other services from NZTeco;
  • continue using the NZTeco website.

Any customer terms, purchase order terms, procurement terms, or other terms provided by you only apply if NZTeco expressly agrees to them in writing.

4. Account Applications and Approval

Submitting an account application does not automatically create an approved account, reseller account, trade account, credit account, special pricing level, or ongoing trading relationship with NZTeco.

NZTeco may approve, decline, or request further information for any account application at its discretion.

If approved, your account type, pricing level, reseller status, credit limit, payment terms, special terms, or other account conditions will only apply once confirmed by NZTeco in writing.

NZTeco may review, suspend, change, or withdraw account terms, credit terms, pricing levels, reseller terms, or special terms where reasonable, including where payment history, trading volume, risk profile, account activity, supplier conditions, or business requirements change.

You must ensure that all information supplied in an application is accurate, current and not misleading. You must notify NZTeco if any important information changes.

5. Quotations, Estimates and Orders

Quotations are valid for 14 days unless stated otherwise in writing.

Orders must be confirmed in writing by email, purchase order, website order, signed quotation, or another method accepted by NZTeco.

NZTeco may accept or decline any order at its discretion.

A quotation, estimate, product listing, price list, email, verbal discussion, or website page is not a binding offer to supply unless NZTeco confirms acceptance of the order.

Product images, specifications, brochures, descriptions, dimensions, diagrams and website content are provided as a guide. They may not show every product variation, accessory, installation requirement, software requirement, licence requirement, site condition, or limitation.

If a product is discontinued, unavailable, delayed, superseded, or replaced, NZTeco may offer a suitable alternative by agreement.

6. Pricing, GST and Errors

Unless stated otherwise, all prices are in New Zealand dollars and exclude GST, freight, insurance, duties, import costs, clearance costs, travel, onsite labour, installation, commissioning, cabling, consumables, third-party costs and any other applicable charges.

GST applies to New Zealand supplies unless the supply is zero-rated or exempt under applicable New Zealand tax rules. NZTeco GST No: 138-382-885.

Export sales may be zero-rated for GST where New Zealand tax requirements are met.

Errors and omissions are excepted. NZTeco may correct genuine pricing errors, stock errors, product errors, specification errors, GST errors, freight errors, website errors, typographical errors, or administrative errors.

Prices may change without notice unless a quotation has been accepted within its validity period and NZTeco has confirmed the order.

7. Payment Terms

Unless otherwise agreed in writing, New Zealand commercial orders require a 50% deposit to allocate stock, procure stock, begin order processing, or initiate supply. The remaining 50% balance is payable before delivery, collection, despatch, licence release, cloud access, subscription activation, account activation, or handover.

International orders require full payment before despatch.

Special-order, custom, non-stock, imported, manufactured, programmed, licence-based, subscription-based, factory-configured, or project-specific items may require up to 100% payment in advance.

Software licences, cloud services, subscriptions and digital services are billed in advance and are non-refundable once issued, activated, provisioned, allocated, or made available.

NZTeco may withhold goods, licences, subscriptions, cloud access, account activation, despatch, documentation, non-essential support, configuration services, or further supply while payment is overdue.

Overdue amounts may incur interest at 2% per month, calculated from the due date until payment is received in full. NZTeco may also recover reasonable collection costs, debt recovery costs, legal costs and related expenses.

Payments must be made without deduction, set-off, counterclaim, or withholding unless required by law or agreed by NZTeco in writing.

8. Credit Accounts

Credit accounts are not automatically provided. Any credit account must be approved by NZTeco in writing.

NZTeco may require credit checks, trade references, director guarantees, personal guarantees, security interests, updated business information, or further verification before approving or maintaining a credit account.

NZTeco may set, change, suspend, or withdraw a credit limit at any time where reasonable.

If payment is overdue, NZTeco may place the account on hold, require payment in advance, suspend supply, or withdraw credit terms.

9. Delivery, Collection, Lead Times and Risk

Lead times are estimates only and are not guaranteed unless NZTeco confirms this in writing.

Stock items are usually despatched as soon as practical. Manufactured, imported, factory-configured, project-specific, custom, special-order, or backordered items may take longer.

NZTeco is not liable for delays caused by freight providers, customs, suppliers, manufacturers, shipping issues, weather events, force majeure events, payment delays, information delays, approval delays, site delays, third-party systems, or other matters outside NZTeco’s reasonable control.

Risk passes to the Customer when goods are handed to the carrier, courier, freight provider, installer, representative, or collected by the Customer, whichever occurs first.

Insurance is the Customer’s responsibility unless NZTeco agrees otherwise in writing.

The Customer must inspect goods as soon as reasonably possible after delivery or collection and notify NZTeco promptly of any delivery damage, shortage, incorrect item, or other issue.

10. Product Availability and Substitutions

Products, software, licences, accessories and services are subject to availability.

Manufacturers may update, discontinue, rename, replace, modify, rebrand, or change products, specifications, firmware, software, licences, features, cloud services, integrations, or accessories without notice.

Where a quoted or ordered item is unavailable, discontinued, delayed, or replaced, NZTeco may offer a suitable alternative by agreement.

NZTeco is not responsible for manufacturer changes, supplier changes, discontinued models, cloud platform changes, firmware changes, software changes, API changes, third-party integration changes, or changes outside NZTeco’s reasonable control.

11. Product Suitability, Site Requirements and Use

The Customer, reseller, installer, system integrator, consultant, or end user is responsible for confirming that products, software, licences, cloud services and related services are suitable for the intended purpose, site conditions, network environment, integration requirements, compliance obligations, power supply, cabling, mounting conditions, environmental conditions and operational requirements.

Any guidance provided by NZTeco is general product guidance only. It is not a full design, engineering, installation, compliance, health and safety, privacy, employment, payroll, cybersecurity, legal, or project management service unless specifically agreed in writing.

The Customer is responsible for ensuring that any use of access control, biometric, facial recognition, fingerprint, palm recognition, RFID, QR code, mobile credential, CCTV, visitor management, time attendance, intercom, vehicle access, cloud, or related systems complies with applicable laws, employment requirements, privacy obligations, workplace policies, site rules and industry requirements.

The Customer is responsible for ensuring that suitable consent, notices, policies, employee communication, signage, internal approvals, network security, user permissions, administrator controls and data management processes are in place where required.

12. Installation, Commissioning and Onsite Services

Unless specifically stated in a quotation or agreed in writing, NZTeco’s supply is supply only and does not include onsite installation, cabling, electrical work, building work, concrete cutting, core drilling, trenching, network configuration, firewall configuration, third-party integration, commissioning, training, travel, accommodation, after-hours work, or onsite support.

Where installation or onsite services are quoted, the quotation will define the included scope as far as practical.

The Customer must ensure that the site is safe, accessible, ready for work, and has suitable power, network, cabling, mounting surfaces, access permissions, permits and site contacts available before work starts.

Additional costs may apply for delays, return visits, unsafe conditions, incomplete site preparation, unavailable access, incorrect information, additional labour, additional materials, variations, after-hours work, or work outside the quoted scope.

Electrical work, building work, compliance work, fire egress requirements, council requirements, structural requirements, network infrastructure and third-party system changes remain the responsibility of the Customer unless specifically included in writing.

13. Software, Firmware, Cloud Services and Subscriptions

Software, firmware, cloud platforms, mobile apps, APIs, subscriptions, licences and related services are supplied subject to the relevant manufacturer, developer, platform, licence, end-user, subscription, cloud, or service terms.

Software licences, cloud services and subscriptions may require internet access, compatible hardware, compatible firmware, compatible browsers, compatible devices, suitable network settings, user accounts, administrator access, email access, SMS services, or third-party services.

The Customer is responsible for maintaining suitable internet, network, firewall, device, browser, user access, password, backup, cybersecurity and administrator arrangements.

Access to software, cloud services, licences, subscriptions, integrations, APIs, mobile apps, or related services may be suspended, restricted, cancelled, or changed if payment is overdue, if the Customer breaches applicable service terms, if the relevant supplier changes access, or if the relevant service is discontinued.

NZTeco is not responsible for loss, interruption, limitation, delay, incompatibility, data loss, feature change, API change, platform change, service outage, or discontinued access caused by third-party software, cloud platforms, internet providers, hosting providers, manufacturers, payment providers, email providers, mobile platforms, operating systems, network settings, or other third parties.

14. Support

NZTeco provides product support during normal business hours, unless otherwise agreed in writing.

Support may be provided by email, phone, remote access, video call, ticketing system, documentation, or another method selected by NZTeco.

Remote support may require network access, software access, administrator access, login details, screenshots, photos, video calls, logs, exported data, device information, serial numbers, licence details, firmware versions, or other information from the Customer.

Professional services such as remote configuration, software setup, cloud setup, advanced troubleshooting, reporting assistance, payroll export configuration, data migration, system audits, user training, customisation, integration assistance, API assistance, or project support may be quoted separately.

Support does not include onsite labour, third-party system repair, network repair, electrical repair, cabling repair, device re-installation, software development, custom reports, data correction, payroll processing, employment advice, legal advice, privacy advice, or work outside normal product support unless specifically agreed in writing.

15. Warranty

Manufacturer warranty periods vary by product, model and supplier. Unless stated otherwise, warranty is back-to-base.

Warranty covers qualifying product faults accepted by NZTeco or the relevant manufacturer under the applicable warranty terms.

Warranty does not include onsite labour, removal, re-installation, freight, travel, accommodation, consumables, batteries, accessories, cosmetic damage, misuse, neglect, unauthorised modification, incorrect installation, incorrect wiring, incorrect configuration, incorrect use, power issues, surge damage, water damage, environmental damage, physical damage, network issues, software issues, firmware issues, or faults caused by third-party equipment, cabling, wiring, networks, software, integrations, systems, users, installers, or service providers.

If a valid warranty claim is accepted, NZTeco may repair, replace, credit, or arrange manufacturer assessment of the affected product at its discretion, subject to applicable law.

Any warranty assessment may require the product to be returned to NZTeco, the manufacturer, or an authorised service location.

16. Returns, Dead-on-Arrival Claims and Refunds

Returns require prior RMA approval from NZTeco. Products must not be returned without approval.

Returned goods must be securely packaged and include all accessories, parts, manuals, cables, packaging where possible, proof of purchase and the approved RMA details.

Dead-on-arrival claims must be reported within 7 days of delivery.

If a valid warranty or dead-on-arrival claim is accepted, NZTeco may repair, replace, credit, refund, or arrange manufacturer assessment of the affected product at its discretion, subject to applicable law.

Change-of-mind returns are not guaranteed. If NZTeco accepts a change-of-mind return, the goods must be unopened, unused, undamaged, resaleable and returned within 14 days. A restocking fee may apply.

Special-order items, custom items, imported items, manufactured items, programmed items, factory-configured items, software licences, digital products, activated licences, issued licences, cloud services and activated subscriptions cannot be returned or refunded unless required by law or agreed by NZTeco in writing.

Freight, handling, payment processing fees, installation charges, configuration charges, licence fees, subscription fees, service fees and other completed service costs are not refundable unless required by law.

17. Ownership, Retention of Title and PPSA

Goods remain the property of NZTeco until paid for in full.

The Customer grants NZTeco a security interest in the goods and their proceeds under the Personal Property Securities Act 1999.

NZTeco may register that interest on the Personal Property Securities Register where appropriate.

Until goods are paid for in full, the Customer must keep the goods safe, insured, identifiable, protected from damage and free from other claims where reasonably possible.

The Customer must not sell, dispose of, charge, pledge, alter, remove, relocate, or part with possession of unpaid goods except in the ordinary course of business or with NZTeco’s written consent.

On default, NZTeco may recover unpaid goods to the extent permitted by law.

18. Resellers, Installers, Integrators and End Customers

Resellers, installers and system integrators are responsible for their own quotations, contracts, installation, commissioning, integration, configuration, documentation, training, support, warranty handling, compliance obligations and obligations to their end customers.

The Customer must not misrepresent any approval, certification, partnership, authorisation, reseller status, distributor status, manufacturer relationship, product capability, warranty, support arrangement, software capability, integration capability, or affiliation with NZTeco or any manufacturer.

The Customer is responsible for ensuring that any products, software, cloud services or licences supplied by NZTeco are represented accurately to end customers.

Unless agreed in writing, NZTeco does not become a party to any contract between a reseller, installer, integrator, consultant, or other customer and their end customer.

19. Privacy, Data and Security Systems

NZTeco’s handling of personal information through its website and direct dealings is covered by our Privacy Policy.

The Customer is responsible for ensuring that its own collection, use, storage, disclosure, retention, deletion and management of personal information complies with applicable privacy, employment and workplace requirements.

This is especially important where systems involve biometric data, facial recognition, fingerprint recognition, palm recognition, CCTV footage, access logs, visitor records, attendance records, payroll-related data, mobile credentials, QR codes, employee data, contractor data, student data, customer data, or other personal information.

Unless specifically agreed in writing, NZTeco is not responsible for the Customer’s internal privacy policies, employee consultation, consent processes, signage, workplace notices, data retention rules, access permissions, cybersecurity settings, administrator controls, payroll interpretation, or compliance documentation.

20. Website Use

The content on this website is provided for general information and may change without notice.

While NZTeco aims to keep website content accurate and useful, website content may contain errors, omissions, outdated information, or manufacturer-supplied information that has changed.

You must not use this website in any way that is unlawful, harmful, misleading, abusive, disruptive, or likely to damage the website, interfere with access, introduce malware, scrape data without permission, attempt unauthorised access, or misuse NZTeco systems.

NZTeco may restrict, suspend, or block access to the website where misuse, security risk, abuse, or unlawful activity is suspected.

21. Intellectual Property

All website content, layout, design, graphics, text, product content, images, icons, documents, downloads, branding, trademarks, logos and other intellectual property on this website are owned by or licensed to NZTeco, unless stated otherwise.

You may view and use website content for legitimate business or purchasing purposes. You must not copy, reproduce, modify, distribute, republish, scrape, commercially exploit, or create derivative works from NZTeco content without written permission.

Third-party trademarks, product names, manufacturer names and logos remain the property of their respective owners.

22. Third-Party Links, Products and Services

The NZTeco website may include links to third-party websites, documents, videos, manufacturer pages, software portals, payment providers, freight providers, or other external resources.

These links are provided for convenience and do not mean NZTeco controls, endorses, guarantees, or accepts responsibility for third-party content, availability, accuracy, security, policies, pricing, or services.

Products, software, cloud platforms, mobile apps, APIs, integrations, payment services, freight services and other third-party services may be subject to separate third-party terms.

23. Limitation of Liability

To the maximum extent permitted by law, NZTeco’s liability is limited to the amount paid by the Customer for the affected products or services.

To the maximum extent permitted by law, NZTeco is not liable for indirect loss, consequential loss, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of goodwill, loss of data, loss of access, business interruption, payroll errors, security incidents, installation costs, removal costs, re-installation costs, third-party costs, third-party claims, or losses caused by products, software, cloud services, integrations, networks, installers, resellers, end users, or third-party systems outside NZTeco’s reasonable control.

Nothing in these Terms limits or excludes any rights, guarantees, obligations, or remedies that cannot be limited or excluded under New Zealand law.

24. Consumer Guarantees Act and Business Purchases

Where goods or services are supplied for business purposes, the parties agree that the Consumer Guarantees Act 1993 does not apply, to the extent permitted by law.

Where goods or services are supplied to a consumer and the Consumer Guarantees Act 1993 applies, nothing in these Terms is intended to limit or exclude rights that cannot be excluded under that Act.

25. Fair Trading Act and Other Laws

Nothing in these Terms is intended to limit or exclude obligations that cannot be limited or excluded under the Fair Trading Act 1986 or any other applicable New Zealand law.

NZTeco aims to provide accurate product and service information. Customers, resellers, installers and integrators must also ensure that any statements they make about products, software, services, warranties, integrations, capabilities, affiliations, or support arrangements are accurate and not misleading.

26. Indemnity

To the maximum extent permitted by law, you agree to indemnify NZTeco against reasonable losses, costs, expenses, claims, damages, liabilities and legal costs arising from your breach of these Terms, misuse of products or services, unlawful conduct, incorrect installation, unauthorised modification, misrepresentation, non-payment, or failure to meet your obligations to NZTeco, end customers, employees, contractors, site owners, or regulators.

27. Force Majeure

NZTeco is not liable for delay or failure to perform caused by events outside its reasonable control, including supplier delays, manufacturer delays, freight delays, customs delays, shipping issues, port delays, natural disasters, extreme weather, fire, flood, pandemic, strike, labour shortage, war, civil disruption, government action, power outage, internet outage, cyber incident, platform outage, or other force majeure events.

28. Disputes

If a dispute arises, either party may request that the parties first try to resolve the dispute in good faith before starting court proceedings, unless urgent relief is required.

These Terms are governed by New Zealand law. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.

29. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be treated as removed or modified to the minimum extent necessary, and the remaining Terms will continue to apply.

30. Changes to These Terms

NZTeco may update these Terms from time to time.

The version published, linked, attached, supplied, or referenced at the time of the relevant account application, quotation, order, invoice, licence, subscription, or transaction applies unless NZTeco agrees otherwise in writing.

For ongoing website use, the latest version published on this page applies.
